1. GENERAL CONDITIONS & ACCEPTANCE

These Terms constitute a legally binding agreement between you and Sign Kings™. We reserve the right, at our sole discretion, to change or modify portions of these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our Website. Your continued use of the Website after any such changes constitutes your acceptance of the new Terms.

1.2 Age Restriction

You must be at least 18 years of age to use this Website, create an account, or place an order. By using the Website, you represent and warrant that you are at least 18 years old.

2. USER ACCOUNT TERMS

2.1 Account Registration

To access certain features of the Website, such as order history and saved designs, you may be required to register for an account. You agree to:

  • Provide accurate, current, and complete information during the registration process.

  • Maintain and promptly update the registration data to keep it accurate, current, and complete.

  • Maintain the confidentiality of your password and restrict access to your account.

2.2 Account Responsibility

You are fully responsible for all activities that occur under your account. You agree to immediately notify Sign Kings™ of any unauthorized use of your password or account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with this Section.

2.3 Termination of Account

We reserve the right to suspend or terminate your account and your access to the Website immediately, without prior notice, if we suspect, in our sole discretion, that you have violated any provision of these Terms or engaged in any fraudulent, abusive, or illegal activity. You may terminate your account at any time by contacting us.

3. TERMS OF SALE AND CUSTOM ORDERS

3.1 Custom Order Disclaimer

Sign Kings™ specializes in custom-manufactured signs. You acknowledge that all orders are subject to the following specific conditions:

  • Design Approval is Final: Before production, you will be required to approve a final design proof (digital or physical). Once this proof is approved, you are solely responsible for all details in the design, including layout, size, color, spelling, grammar, and image quality. Production will not begin until we receive your explicit approval.

  • Color Matching: While we strive for accuracy, color output can vary based on the substrate, print method, and monitor calibration. We do not guarantee exact color matches to any digital proof or previous order unless a specific color sample or Pantone number is provided and an exact match is confirmed by our team in writing.

  • Minor Variations: Due to manufacturing processes, final product sizes may vary up to 1/2 inch (0.5") from the specifications listed in the approved proof.

3.2 Pricing and Payment

  • All prices for products and services are subject to change without notice. The price charged will be the price in effect at the time the order is placed.

  • You agree to pay the total purchase price for any order, including shipping fees and applicable taxes. We are not responsible for any additional duties or customs fees incurred on international shipments.

3.3 Cancellations and Refunds

Due to the custom nature of our products, our cancellation and refund policy is strict:

  • Cancellation Before Proof Approval: Orders may be cancelled for a full refund prior to the final design proof approval.

  • Cancellation After Proof Approval: Orders cancelled after final proof approval will be subject to a cancellation fee equal to the cost of materials and labor expended up to the point of cancellation. This fee can be up to 50% of the total order value.

  • Returns: Because signs are custom-made, we do not accept returns or offer refunds unless the product is defective or damaged during shipment, or if the final product does not match the approved final proof. In such cases, we will replace the incorrect product at no cost to you.

4. INTELLECTUAL PROPERTY RIGHTS

4.1 Our Content

All content on the Website, including text, graphics, logos, images, digital downloads, data compilations, and software, is the property of Sign Kings™ or its content suppliers and is protected by United States and international copyright laws.

4.2 Your Uploaded Content

When you upload or submit any design, logo, image, or text ("Customer Content") for your custom sign, you represent and warrant that:

  • You own the Customer Content, or you have the necessary licenses, rights, consents, and permissions to use and authorize Sign Kings™ to use the Customer Content for the purpose of fulfilling your order.

  • The Customer Content does not infringe, violate, or misappropriate any third-party rights, including copyright, trademark, privacy, or publicity rights.

  • You grant Sign Kings™ a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, display, and distribute the Customer Content solely for the purpose of manufacturing your sign and, with your permission, for displaying as a portfolio example.

You agree to indemnify and hold Sign Kings™ harmless from any and all claims, liabilities, costs, and expenses, including attorney's fees, arising from or related to any breach of this Intellectual Property Section.

5. PROHIBITED USES

You are prohibited from using the Website or its content:

  1. For any unlawful purpose or to solicit others to perform or participate in any unlawful acts.

  2. To violate any international, federal, provincial or state regulations, rules, laws, or local ordinances.

  3. To infringe upon or violate our intellectual property rights or the intellectual property rights of others (including uploading designs that you do not own or have permission to use).

  4. To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.

  5. To submit false or misleading information.

  6. To transmit any worms or viruses or any code of a destructive nature.

  7. To collect or track the personal information of others.

  8. To interfere with or circumvent the security features of the Website.

6. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

THE FOLLOWING PROVISIONS CONSTITUTE A LIMITATION OF OUR LIABILITY TO YOU AND ARE MATERIAL TO THIS AGREEMENT. PLEASE READ CAREFULLY.

6.1 Warranty Disclaimer

THE WEBSITE AND ALL PRODUCTS AND SERVICES DELIVERED TO YOU THROUGH THE WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Sign Kings™ DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

6.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Sign Kings™, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR SUPPLIERS BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, OR REPLACEMENT COSTS, ARISING FROM YOUR USE OF ANY SERVICE OR ANY PRODUCTS PROCURED USING THE SERVICE.

NOTWITHSTANDING THE FOREGOING, IF Sign Kings™ IS FOUND LIABLE, OUR LIABILITY TO YOU OR TO ANY THIRD PARTY IS LIMITED TO THE AMOUNT PAID BY YOU TO Sign Kings™ FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

7. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the State of Pennsylvania, United States, without regard to its conflict of law provisions.

Any dispute or claim arising out of or relating to these Terms or the breach thereof shall be resolved by binding arbitration in Luzerne County, Pennsylvania, in accordance with the rules of the American Arbitration Association, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
